BSA/AML Summit:

Otteson Shapiro is co-sponsoring the Third Annual Bank Secrecy Act/Anti-Money Laundering Mile High Summit at the Federal Reserve Bank of Kansas City Denver Branch on August 1, 2017.  The Summit is designed for Senior Management and Operations Professionals with responsibilities over BSA/AML compliance.  Some of the topics that may be covered tentively include:  MSB Panel on Current Events in AML; Current Issues involving Marijuana Businesses in Colorado; Sanctions Compliance for Community and Regional Banks; Current Trends in Terrorism Finance Typologies and How to Detect Them; as well as panel discussions of regulators and law enforcement.

Lending Boot Camp:

Otteson Shapiro’s Lending Boot Camp program is oriented to new loan officers, but participants have included loan processors and banking assistants, analysts, senior lenders and management.  Even experienced lenders have commented that they gained valuable information from this program.  Available in a variety of formats to meet the needs of the audience, the program includes:

Borrowing entities – an overview of the most common entities and the documents that create and govern them, with a focus on reviewing and documenting the entity’s authority to borrow money and pledge collateral.

Documenting the Loan: The Loan Agreement, the Note and Personal Property Collateral – Discussion of lending transactions, including structuring and documenting the loan, including a review of key provisions of the loan agreement, the promissory note and personal property collateral.

Documenting the Loan: Real Estate Collateral and Related Issues–Discussion of lending transactions secured by real property including related loan documentation, construction and development lending, loans secured by ground leases, recording issues, and encumbering fixtures.

Title Insurance – Overview of title insurance, including insured closing protection letters, how to read a title commitment, title policy coverage and limitations, common endorsements and exceptions, and title claims.

Regulatory Examination of the Loan Portfolio and Compliance – Discussion of what the regulators are looking for in safety and soundness exams of the loan portfolio and selected compliance issues.

Customer Liability – Discussion of customer liability risks, typical scenarios and guidance to avoid and limit customer liability claims.

Loan Default, Enforcement and Bankruptcy – Overview of loan default issues, including foreclosure of personal property and real property liens and preservation of deficiencies and key concepts in bankruptcy affecting a secured lender, including cash collateral rights, stay relief litigation, assets sales, preventing discharge of debts, claim preservation and plans of reorganization.

Loan Documentation Boot Camp:

Detailed review of commonly used loan documentation to help bank personnel understand the terms and conditions of the loan documents, as well as the use of available but less commonly used forms that provide great benefits to the lender.  Includes a review of common borrowing entities and the means of documenting their authority to borrow money and pledge collateral, as well as an in-depth review of the documentation used to document C&I and real estate loans.  Many bank personnel use these documents regularly without a clear understanding of their contents; this program helps bridge that gap and enables everyone from the banking assistant to the senior loan officer to better understand and negotiate the terms of the loan documents.
